BHN OS — Terms of Service

IMPORTANT: Please read these Terms of Service carefully before using BHN OS. By creating an account, clicking ‘I Agree,’ or using any part of the BHN OS platform, you agree to be legally bound by these Terms. If you do not agree, do not use BHN OS.

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Winning Edge Group LLC d/b/a Group50® Consulting (“Company,” “we,” “our,” or “us”) governing your access to and use of the BHN OS software platform, including all features, content, AI capabilities, and related services (collectively, the “Service”).

By accessing or using the Service, you represent that: (a) you are at least 18 years of age; (b) you have the authority to enter into these Terms on behalf of yourself or your organization; and (c) your use of the Service will comply with all applicable laws and regulations.

2. Description of Service

BHN OS is an AI-powered business operating system built on the Business Hierarchy of Needs® framework. The Service provides tools for strategic planning, business management, AI-assisted advising, recruiting support, document generation, and related business productivity functions.

AI-generated content, advice, and recommendations provided through BHN OS are for informational and strategic guidance purposes only. They do not constitute legal, financial, accounting, medical, or other professional advice. Always consult qualified professionals for decisions in those domains.

3. Accounts and Registration

3.1 Account Creation

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3.2 Company Accounts

BHN OS operates on a company-scoped basis. When you create a company account, all data entered is associated with that company workspace. You may invite team members to your workspace subject to the limits of your subscription tier.

3.3 Account Security

You agree to notify us immediately at info@group50.com if you discover unauthorized access to your account. We are not liable for losses resulting from unauthorized account access that occurs through no fault of ours.

4. Subscription Plans and Billing

4.1 Subscription Tiers

BHN OS is offered on a subscription basis across multiple tiers (Solo, Operator, Team, and Enterprise). Features available to you depend on your selected tier. Tier features and pricing are described at BHNOS.ai and may be updated from time to time with notice.

4.2 Free Trial

New accounts receive a 14-day free trial with full Team-tier access. No credit card is required to begin a trial. At the end of the trial period, your account will revert to the Solo tier unless you subscribe to a paid plan.

4.3 Payment Terms

Paid subscriptions are billed monthly or annually in advance. All fees are in US dollars and are non-refundable except as required by applicable law or as explicitly stated in these Terms. Payments are processed by Stripe, Inc. subject to Stripe’s terms of service.

4.4 Cancellation

You may cancel your subscription at any time through the Subscription & Billing page within BHN OS or by contacting info@group50.com. Cancellation takes effect at the end of the current billing period. You retain access to paid features through the end of the period for which you have paid.

4.5 Price Changes

We reserve the right to modify subscription pricing with 30 days’ advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Intellectual Property

5.1 Our IP

The Business Hierarchy of Needs® framework, the BHN OS software, all content, features, functionality, visual design, and the “BHN OS” and “Group50®” names and marks are owned by or licensed to the Company and are protected by copyright, trademark, and other intellectual property laws. “Business Hierarchy of Needs®” is a registered trademark.

5.2 Your Data

You retain ownership of all data, content, and information you enter into BHN OS (Your Data). By using the Service, you grant us a limited, non-exclusive license to process and store Your Data solely to provide the Service to you. We do not sell your data or use it for any purpose other than operating and improving the Service for your account.

5.3 AI-Generated Content

Content generated by AI features of BHN OS in response to your inputs may be used by you for your business purposes. We make no claim to ownership of AI-generated content produced specifically in response to your queries. However, the underlying AI models, prompts, and infrastructure remain our property or the property of our AI provider partners.

5.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, royalty-free license to use that feedback to improve the Service without any obligation to you.

6. Acceptable Use

You agree not to use BHN OS to:

Violate any applicable law, regulation, or third-party right
Upload or transmit viruses, malware, or other harmful code
Attempt to gain unauthorized access to any part of the Service or other users’ accounts
Use the Service to generate content that is illegal, defamatory, threatening, or harassing
Reverse engineer, decompile, or attempt to extract the source code of the Service
Use the Service in any way that could damage, disable, or impair the Service or its servers
Share your account credentials with unauthorized users
Use the Service to train competing AI models or services

7. AI Services and Third-Party Providers

BHN OS integrates with third-party AI providers including Anthropic (Claude), OpenAI (GPT-4), and Google (Gemini) to provide AI capabilities. Your use of these AI features is also subject to the terms and privacy policies of those providers. We are not responsible for the conduct of third-party AI providers, but we select providers with strong data privacy commitments.

AI responses are generated algorithmically and may contain errors, inaccuracies, or outdated information. You are responsible for independently verifying any AI-generated content before acting on it, particularly for material business, legal, financial, or medical decisions.

8. Data and Privacy

Our collection and use of your personal and company data is governed by our Privacy Policy, incorporated into these Terms by reference. Key points: your company data is isolated to your workspace; we do not sell your data; AI providers process your queries under API terms that do not permit training on your data; and you may request deletion of your data by contacting info@group50.com.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE.

AI-GENERATED STRATEGIC RECOMMENDATIONS, FINANCIAL PROJECTIONS, COMPETITIVE ANALYSES, CANDIDATE ASSESSMENTS, AND OTHER ADVISORY CONTENT ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DO NOT SUBSTITUTE FOR PROFESSIONAL BUSINESS, LEGAL, FINANCIAL, OR HUMAN RESOURCES ADVICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WINNING EDGE GROUP LLC D/B/A GROUP50® CONSULTING BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Service; (b) Your Data; (c) your violation of these Terms; or (d) your violation of any third-party rights.

12. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We may update these Terms periodically. Material changes will be communicated via email or an in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. The current Terms version is always available at BHNOS.ai/terms.

13. Termination

We may suspend or terminate your account if you violate these Terms, engage in fraudulent or harmful conduct, or for any other reason with reasonable notice. You may terminate your account at any time. Upon termination, your access to the Service will end, and we will retain your data for 30 days before permanent deletion, during which time you may request an export.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration under the American Arbitration Association’s Commercial Arbitration Rules, conducted in California. You waive any right to participate in class action proceedings.

15. Miscellaneous

Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and the Company regarding the Service.
Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
No Waiver: Our failure to enforce any provision does not constitute a waiver of our right to enforce it later.
Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
